What will you do?
As a Legal Manager in a FinTech and Web3 Pre-Seed startup, you'll manage and oversee legal processes, draft and negotiate contracts, and manage legal risks related to blockchain and crypto operations. You'll guide the company through corporate governance, funding rounds, due diligence processes, token offerings, and ensure compliance with securities laws. Additionally, you'll establish governance frameworks, protect intellectual property, and navigate cross-border legal challenges in the fast-evolving FinTech and Web3 landscape.
- Regulatory Compliance: Ensure the startup complies with fintech and Web3-related regulations, including KYC/AML, securities laws, and emerging crypto regulations.
- Contract Drafting & Negotiation: Draft, review, and negotiate contracts related to funding, partnerships, token issuances, NDAs, employees and/or contractors, service providers, and licensing agreements.
- Corporate Governance: Establish internal policies, advise on company structure, manage shareholder agreements, and board governance.
- Risk Management: Identify legal risks related to blockchain technology, smart contracts, and crypto transactions, offering solutions to mitigate them.
- Fundraising & Tokenomics: Guide legal aspects of equity raise, token sales (ICOs, IEOs, ITO, STOs), and ensure compliance with securities laws for investors and tokens.
- Intellectual Property Protection: Safeguard company IP, including trademarks, patents, and copyrights, and ensure compliance with open-source licensing in blockchain projects.
- Dispute Resolution: Manage potential litigation, arbitration, or regulatory inquiries in fintech and blockchain contexts.
- Data Privacy & Cybersecurity: Ensure compliance with data privacy laws (GDPR, CCPA) and advise on blockchain's role in secure data handling and storage.
- Cross-jurisdictional Legal Issues: Navigate international laws, particularly with decentralized finance (DeFi) and cross-border crypto operations.
What will you bring?
- Legal Expertise in FinTech & Web3: Strong knowledge of fintech regulations, blockchain, cryptocurrency laws, and decentralized finance (DeFi).
- Regulatory Compliance Mastery: Deep understanding of KYC/AML, securities laws, and emerging crypto regulations.
- Startup & Fundraising Experience: Familiarity with legal issues in early-stage startups, including venture capital, equity raises, and token offerings.
- Contract Drafting & Negotiation Skills: Proficiency in drafting and negotiating contracts, including investor agreements, token sales, and commercial deals.
- Corporate Governance Knowledge: Experience advising on company structure, shareholder agreements, and internal policies.
- Risk Management Expertise: Ability to identify and mitigate legal risks in blockchain, smart contracts, and crypto transactions.
- Intellectual Property Management: Experience with IP protection, including patents, trademarks, and blockchain licensing issues.
- Cross-jurisdictional Legal Proficiency: Skilled in handling international regulations for cross-border transactions and decentralized finance.
- Adaptability & Problem-Solving: Ability to navigate the fast-evolving legal landscape of fintech and Web3 with creative, practical solutions.
- Strong Communication & Leadership: Excellent communication skills to guide stakeholders and influence decisions at an executive level.
